General Terms and Conditions of Sale and Delivery (B2B)

These terms and conditions of sale and delivery apply to wholesale transactions between Lumestetic Oy (hereinafter referred to as the “Seller” or “Lumestetic”) and professional customers (hereinafter referred to as the “Buyer” or “Customer”) in Lumestetic’s professional online store.

1. Customer Registration and Eligibility

Lumestetic’s online store is intended exclusively for beauty and healthcare professionals and business customers. We do not sell products to consumers.

Placing orders in the online store requires approved registration and the creation of a customer account prior to ordering.

During registration, the Buyer must provide a valid Finnish Business ID (Y-tunnus) or foreign VAT number, the company’s official name, and sufficient information demonstrating professional qualifications. These details will be verified by the Seller before customer approval is granted.

The Customer is responsible for ensuring that all contact and billing information provided is accurate and up to date.

2. Prices and Product Information

All prices displayed in the online store are shown excluding VAT (VAT 0%) in euros (€).

Applicable VAT and shipping costs will be added to the prices at checkout.

Lumestetic reserves the right to change prices and to cancel orders in the event of a clear pricing error.

3. Payment Methods and Terms

The only payment method available in the online store is invoicing.

Invoices are delivered according to the Customer’s preference either by email or as an e-invoice to the provided e-invoicing address.

The payment term is net 14 days from the invoice date.

In the event of late payment, the Seller has the right to charge default interest in accordance with the Finnish Interest Act, as well as reminder and collection fees according to the applicable price list. The Seller may also suspend or close the Customer account if outstanding invoices remain unpaid.

4. Delivery Area, Shipping Costs, and Delivery Time

We deliver orders to the following countries: Finland, Sweden, Norway, and Denmark.

The estimated delivery time is 2–5 business days from order confirmation or from the time the order has been packed at our warehouse.

Shipping costs are determined based on the selected delivery method and destination country and will be displayed in the shopping cart before the order is finalized.

We offer free shipping on orders exceeding €900 (VAT 0%).

5. Cancellation and Return Policy

As this is a business-to-business (B2B) transaction, orders are not subject to the cancellation, exchange, or return rights provided under consumer protection legislation.

All orders are binding. Products cannot be returned or exchanged.

Returns are accepted only if the delivered product is defective or incorrectly supplied by the Seller (see Section 6).

6. Complaints, Liability for Defects, and Inspection Obligation

The Buyer is obligated to inspect the delivered shipment and the condition of the products immediately upon receipt.

If a product is defective, damaged during transport, or the delivery contents are incorrect, a written complaint must be submitted within 7 days of receiving the shipment via email to: info@lumestetic.com

The complaint must include the order/invoice number, a description of the defect, and photographs of the defective product or transport damage.

If the complaint is deemed valid, Lumestetic will primarily replace the product with a new equivalent product or, alternatively, refund the purchase price of the product.

7. Limitation of Liability

Lumestetic shall not be liable for any indirect damages, including but not limited to loss of revenue, reputational damage, or costs incurred by third parties resulting from delayed or defective products.

In all circumstances, the Seller’s liability is limited to a maximum of the purchase price of the product in question.

The Seller shall be released from its contractual obligations in cases where delay or non-delivery is caused by force majeure, including but not limited to strikes, governmental restrictions, war, or widespread disruptions in logistics chains.

8. Privacy and Data Protection

We process personal data of customer company representatives in accordance with the EU General Data Protection Regulation (GDPR). Personal data is used solely for customer relationship management, order fulfillment, and invoicing purposes. Further information can be found in our Privacy Policy.

9. Governing Law and Dispute Resolution

These terms and their interpretation shall be governed by the laws of Finland, excluding conflict of law provisions relating to international sales of goods.

Any disputes shall primarily be resolved through negotiations between the parties.

If no agreement can be reached, disputes shall be settled in the District Court of Helsinki.
